Ms. Buckley advises clients on the selection, formation, organization and management of new business entities including corporations, limited liability companies and partnerships and counsels companies on various matters including corporate governance, mergers and acquisitions, joint ventures, restructuring, federal and state securities laws, and employment, consulting and shareholder agreements. Her securities experience includes preparing proxy statements, annual and periodic filings, and public and private securities offerings.

• Lead counsel to borrower in $8 million debt facility to purchase assets

• Represented sponsors in the formation of a $25 million private equity fund

• Represented owners of closely-held private companies with governance matters and buy-out transactions
