Mr. Schwab is a Counsel in the Corporate, Tax and Commercial Law Practice Group. Mr. Schwab’s practice focuses on general business and corporate matters, including mergers and acquisitions, business development, debt and equity finance and technology matters.
Education
Mr. Schwab earned his J.D., summa cum laude, from the University of Tennessee College of Law, where he was the Articles Editor for the Tennessee Law Review and was elected to the Order of the Coif. Mr. Schwab received his B.B.A. in Marketing from the University of Georgia, Terry College of Business.

Professional Experience
Before joining HSS&W, Mr. Schwab was the General Counsel of his family’s transportation business. Prior to that, Mr. Schwab practiced in the corporate groups of Dow, Lohnes & Albertson for five years and at Sutherland, Asbill and Brennan for one year.

Mr. Schwab advises clients on various corporate and business matters, including complex corporate mergers, acquisitions and divestitures, secured and unsecured loan transactions, technology and intellectual property licensing agreements, outsourcing and procurement agreements and sales and service agreements. Mr. Schwab has counseled clients on numerous strategic partnership arrangements, critical vendor relationships, state and federal regulatory schemes and general corporate matters. Mr. Schwab has also assisted clients with development initiatives from drafting and negotiating joint venture agreements to creating the legal structure for the remarketing of off-lease vehicles through the internet.

Mr. Schwab is the author of the Note Constitutional Law -- Fifth Amendment Just Compensation Clause -- Escheat of Indian Trust Lands Babbitt v. Youpee, 117 S.Ct. 727 (1997), 65 Tenn. L. Rev. 805 (1998).
