Practice Area
Mr. DeLisle's practice focuses on corporate and securities law, corporate finance and mergers and acquisitions. 

Education
Mr. DeLisle earned his J. D., magna cum laude, from Georgia State University College of Law in 1999, where he was an Associate Editor of the Georgia State Law Review. While in law school, he was a member of Phi Delta Phi, the Bleckley Inn of Courts, and the Outer Barrister’s Guild. Additionally, Mr. DeLisle served as an extern to The Honorable Marvin H. Shoob, U.S. District Court for the Northern District of Georgia, and with the United States Environmental Protection Agency.

Mr. DeLisle earned his B.C.E., with honors, from the Georgia Institute of Technology in 1993, majoring in Civil Engineering.

Professional Biography

Professional Experience
Prior to joining HSS&W, LLP, Mr. DeLisle practiced as a corporate attorney with Alston & Bird LLP for six years and, prior to that, in the real estate and environmental groups for one year.

Before practicing as a lawyer, Mr. DeLisle practiced as an environmental engineer for four years with Law Engineering & Environmental Services, Inc. and earned his Professional Engineer License.

Illustrative Background
Mr. DeLisle concentrates his practice on mergers and acquisitions, securities laws, contract negotiation and drafting, corporate formation, qualification and governance, private debt and equity and venture capital transactions, shareholders' arrangements, partnership and joint venture agreements, service agreements, restrictive covenants, and other general business and commercial matters.

Representative experience has included: representing Wachovia Securities, the managing underwriter, in the $75 million initial public offering by Emageon, Inc., a provider software and services to the medical imaging industry; representing ITC Holding Company, a provider of audio, video and web-based conferencing solutions, in a $400 million merger with West Corporation; representing a private health care management company in its merger with a public company; representing a public health care company in its acquisition of a group of local health care providers; representing companies and investors in connection with their private capital raising initiatives or investments; and representing owners of closely-held, private companies with governance matters and buy-out transactions.

Publications & Presentations
Mr. DeLisle authored an article on 1998 Georgia House Bill 1163, 15 GSU Law Review 29, which imposed mandatory privatization of municipal waste water treatment facilities.

Membership
Mr. DeLisle is a member of the State Bar of Georgia. He is also a member of the Technology Association of Georgia. He serves as a member of the Board of Directors of the Decatur-DeKalb YMCA and as President and a member of the Board of Directors of a foundation to award scholarships to students at the Georgia Institute of Technology.
